The specific scope of work, deliverables, and timelines for any campaign will be outlined in a separate, written Service Agreement or Proposal signed by both parties.

2. User Obligations

By using our contact forms or services, you agree that:

• All information you submit to us is accurate, current, and complete.
• You will not use our website for any illegal, unauthorized, or malicious activities.
• You have all necessary intellectual property rights, licenses, and permissions for any materials (logos, text, images, videos) you provide to us for marketing campaigns.

3. Payments, Invoicing, and Retainers

Our billing practices are transparent. The terms for billing include:

• Project Deposits: Web development or branding projects require a 50% non-refundable advance deposit before work commences.
• Monthly Retainers: Ongoing marketing and ad management services are billed monthly in advance. Payments are due within 7 days of the invoice date.
• Late Payments: We reserve the right to pause ongoing campaigns or suspend web hosting services if invoices remain unpaid for more than 15 days past the due date.

4. Intellectual Property Rights

Except for third-party licensed components, all unique marketing assets, copy, graphic designs, and web layouts developed by Shri Shyam Enterprises specifically for you will become your property upon receipt of full and final payment. We retain the right to showcase completed works in our marketing portfolio.

5. Disclaimers and Limitation of Liability

While we use industry best practices to achieve optimal digital growth, we must outline the following limitations:

• Third-Party Platforms: We operate campaigns on third-party channels (Google Search, Google Ads, Meta/Facebook, etc.). We have no control over algorithm changes, ad policy updates, or platform downtimes.
• Results Disclaimer: Shri Shyam Enterprises does not guarantee specific rankings, conversion metrics, or business earnings. Any historical success stories are for illustrative purposes and do not represent a guarantee of future outcomes.
• Limitation of Liability: In no event shall Shri Shyam Enterprises be liable for any indirect, consequential, or special damages, including lost profits, arising out of the performance of our services or website operations. Our maximum cumulative liability is limited to the fees paid by you for the specific service in dispute.

6. Contract Termination

Unless stated otherwise in your specific Service Agreement, ongoing monthly marketing campaigns may be terminated by either party with a written 30-day notice. Any outstanding balances for work performed during the notice period will remain due.

7. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of these terms shall be subject to the exclusive jurisdiction of the courts located in Gautambuddha Nagar, Uttar Pradesh, India.

8. Updates to Terms

We reserve the right to update or modify these Terms & Conditions at any time without prior notice. Your continued use of our site and services after modifications indicates your acceptance of the updated terms.
